GENERAL TERMS AND CONDITIONS OF SALE (B2B)

PREMISE & TARGET SCOPE
This document governs all sales of goods and services provided by Multimac S.r.l. through its official portal and direct sales channels. Sales are strictly reserved for Business-to-Business (B2B) clients —sole proprietorships, corporate entities, and professionals acting in their commercial capacity with a valid VAT number. Multimac S.r.l. does not perform transactions with B2C end consumers.

ARTICLE 1: ENTIRE AGREEMENT
These General Terms and Conditions of Sale (GTCS) represent the entire set of obligations between Multimac S.r.l. and the Business Client. Placing an order implies full and unconditional acceptance of these terms. Multimac reserves the right to modify these GTCS at any time; applicable terms are those accepted at the time of order confirmation.

ARTICLE 2: PURPOSE
The purpose of these GTCS is to define the contractual rights and obligations between Multimac and the B2B Client regarding online and distance purchases, covering all operational steps from order placement, payment, and billing to delivery and post-sales technical support.

ARTICLE 3: SCOPE OF APPLICATION
These GTCS apply to all sales made through Multimac's e-commerce platform, as well as orders completed via direct electronic or assisted telephone channels.

ARTICLE 4: ORDERS & CONTRACTUAL CAPACITY
4.1 Capacity & Eligibility
The Client confirms having full legal capacity to enter into commercial contracts under Italian law. Orders are strictly accepted from entities providing valid corporate tax identifiers (VAT number, SDI/PEC details). Multimac reserves the right to reject or cancel orders in cases of ongoing legal/commercial disputes or prior payment defaults.

4.2 Contractual Acceptance
Selecting the checkbox "I accept the General Terms and Conditions of Sale" during checkout or confirming an order via assisted sales channels constitutes an irrevocable and binding legal contract between the parties.

4.3 Order Process
Ordering involves: (1) Product selection; (2) Authentication and corporate tax detail input (VAT ID, SDI code/PEC); (3) Delivery location specification; (4) Shipping method selection; (5) Payment selection; (6) Final validation and payment dispatch.

4.4 Order Confirmation
An automated order receipt is issued via e-mail. The Client is exclusively responsible for verifying input accuracy. Storage or redelivery costs stemming from incorrect tax or address details will be fully charged to the Client.

4.5 System Logs as Legal Proof
Electronic logs and transaction records stored on Multimac servers serve as full legal proof of communications, orders, and payments between the parties.

ARTICLE 5: PRODUCT INFORMATION & AVAILABILITY
5.1 Technical Specifications
Product specifications, graphics, and descriptions are rendered accurately based on manufacturer data. Minor packaging updates introduced by manufacturers that do not affect technical performance do not constitute non-conformity.

5.2 Stock Availability: In the event of stock unavailability after order placement, Multimac will promptly notify the Client, offering: (1) Order cancellation with full refund within 14 days; (2) Supply of an equivalent alternative product; (3) Acceptance of extended delivery schedules based on manufacturer restocking times.

ARTICLE 6: PRICING & VAT APPLICATION
All prices listed on the website are denominated in Euros (€) and are EXCLUDING VAT (Net Prices). Applicable Value Added Tax according to Italian tax rates will be calculated and displayed in the shopping cart prior to order validation.
● Prices do not include shipping costs, special packaging requests, or customs duties. International Extra-EU Shipments: Orders shipped outside the European Union are invoiced net of Italian VAT.
● Customs duties, import taxes, and local clearances in the destination country remain the exclusive responsibility of the Client.

ARTICLE 7: PAYMENT & ELECTRONIC INVOICING
7.1 Payment Methods
Payment can be executed via Credit/Debit Cards (Visa, Mastercard, Maestro, AMEX) or Bank Wire Transfer (order processed upon effective credit receipt). Data security is guaranteed via SSL encryption.

7.2 Electronic Invoicing (SDI)
In compliance with Italian electronic invoicing laws, official electronic invoices are transmitted directly to the Revenue Agency Exchange System (SDI) using the SDI Recipient Code or PEC provided by the Client. A PDF courtesy copy is uploaded to the client portal.

ARTICLE 8: SHIPPING, LOGISTICS & STORAGE
8.1 Coverage & Carriers
Deliveries within Italy and the European Union are handled by express couriers: BRT (Bartolini), GLS, and UPS.

8.2 Processing & Transit Times
Ready-to-ship items are processed within 48/72 business hours from payment confirmation. Estimated domestic transit takes 48/72 hours. Shipments containing backordered items will be sent as a single cumulative dispatch once all items are ready.

8.3 Storage Fees (Giacenza)
If a delivery fails due to recipient absence or wrong address, storage fees charged by the carrier after the maximum holding period (typically 15 days) will be charged to the Client. Returned shipments due to uncollected storage will result in order cancellation with refund limited to product price net of all living freight and storage expenses incurred by Multimac.

ARTICLE 9: PACKAGING & MANDATORY INSPECTION UPON DELIVERY
Upon delivery, the Client is legally required to inspect the physical condition of the parcel before signing the carrier slip.

CRITICAL REQUIREMENT - SPECIFIC RESERVATION: If the outer box shows damage, crushing, holes, or altered tape, the Client MUST accept the package by signing with a SPECIFIC WRITTEN RESERVATION (e.g., "Accepted with reservation due to crushed box" or "Accepted with reservation for damaged carton"). Under Art. 1698 of the Italian Civil Code, accepting goods without specific written reservation extinguishes all rights to claim carrier transport damages against Multimac.

Concealed damage must be reported via e-mail to info@multimac.it within 8 calendar days of receipt with detailed photographic evidence.

ARTICLE 10: ABSENCE OF RIGHT OF WITHDRAWAL (B2B)
In accordance with Italian commercial law and European directives, the 14-day consumer Right of Withdrawal (Cooling-off period under the Consumer Code) DOES NOT APPLY to Business-to-Business (B2B) transactions. All B2B orders conformed and validated are final, binding, and non-cancellable. Returns are considered strictly in cases of proven manufacturing defects or shipping errors, subject to prior written authorization from Multimac.

ARTICLE 11: COMMERCIAL WARRANTY & LIABILITY
11.1 Civil Code Warranty (12 Months)
B2B purchases are governed exclusively by Articles 1490 et seq. of the Italian Civil Code. Products are covered by a 12-month commercial warranty against defects. Defects must be formally reported within 8 days of discovery under penalty of forfeiture.

11.2 Distributor Status
Multimac S.r.l. operates solely as a commercial distributor and is not the original manufacturer. Liability for third-party injury or property damage resulting from intrinsic manufacturing defects lies exclusively with the original manufacturer under D.P.R. 224/1988.

ARTICLE 12: LIMITATION OF LIABILITY
Multimac shall not be held liable for indirect commercial losses, loss of profit, or operational downtime caused by delivery delays or defective items, nor for internet connectivity failures or external cyber disruptions.

ARTICLE 13: FORCE MAJEURE
Neither party shall be held liable for non-performance caused by events beyond reasonable control (e.g., national strikes, customs blockades, extreme weather, supply chain disruptions, energy outages). If Force Majeure exceeds 3 consecutive months, either party may terminate the order without penalty.

ARTICLE 14: DATA PROTECTION (GDPR)
Personal and corporate data are processed in full compliance with EU Regulation 2016/679 (GDPR) and Italian Privacy Code (D.Lgs. 196/2003). Data subject rights can be exercised by contacting info@multimac.it.

ARTICLE 15: INTELLECTUAL PROPERTY
All contents, trademarks, technical sheets, and software components on Multimac's portal remain the exclusive property of Multimac S.r.l. or its partners. Unauthorized reproduction is strictly prohibited.

ARTICLE 16: APPLICABLE LAW & JURISDICTION
16.1 Governing Law
These GTCS and all associated sales contracts are governed exclusively by Italian Law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

16.2 Exclusive Jurisdiction
For any commercial dispute arising from the interpretation, execution, or termination of these General Terms or related orders, the parties establish that the COURT OF PADOVA (ITALY) shall have SOLE AND EXCLUSIVE JURISDICTION, excluding any alternative jurisdiction.

Specific Approval of Onerous Clauses (Articles 1341 & 1342 Italian Civil Code)
The Business Client explicitly confirms having read and specifically approves the following clauses: Art. 4.1 (Order Rejection Rights); Art. 5.2 (Exemption of Liability for Stock Unavailability); Art. 8.3 (Storage Charges); Art. 9.2 (Forfeiture of Claims without Specific Delivery Reservation); Art. 10 (Exclusion of Right of Withdrawal for B2B); Art. 11 (12-Month Warranty and 8-Day Defect Reporting Deadline); Art. 16.2 (Exclusive Jurisdiction of the Court of Padova).
